Terms of Service
These Terms of Service ("Terms") constitute a legally binding agreement between you and Stratiline Labs, the owner and operator of Batonic ("Stratiline Labs," "Batonic," "we," "us," or "our"), concerning your access to and use of Batonic, including its websites, applications, APIs, transaction services, content-delivery services, Storefronts, Batons, and related features (collectively, the "Platform").
Please read these Terms carefully. By creating an Account, creating or operating a Storefront, publishing or purchasing a Baton, initiating or accepting a Transaction, or otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and policies incorporated into them by reference.
If you do not agree to these Terms, you may not use Batonic.

1. What Batonic Is
Batonic is a technology platform that allows Users to create, publish, discover, purchase, sell, license, deliver, and manage digital products, physical goods, services, and combinations of those offerings.
An offering made available through Batonic is called a "Baton."
Depending on the Transaction, Batonic may provide infrastructure including content hosting and delivery, marketplace discovery, transaction management, payment-processing integrations, conditional payout or fund-release functionality, inspection periods, order and invoice records, shipping and fulfillment tools, local-delivery and pickup functionality, service milestones, Buyer and Seller communications, refund functionality, fraud-prevention measures, and dispute-resolution procedures.
Batonic provides this infrastructure to make Transactions easier, more transparent, and more trustworthy.
Except where Batonic expressly identifies itself as the seller of a particular offering, Batonic is not the seller, manufacturer, creator, publisher, employer, contractor, service provider, importer, exporter, distributor, licensor, or owner of a Baton offered by a User. The underlying Transaction is between the Buyer and Seller.
Batonic's participation in administering payments, inspection periods, disputes, refunds, fulfillment records, conditional fund releases, or other transaction protections does not make Batonic the seller or provider of the underlying Baton.
Batonic is not a bank, money transmitter, or escrow company merely because the Platform facilitates payments, delays payout eligibility, conditions release of proceeds, or coordinates refunds. Payment and payout functionality may be provided through independent payment processors and financial partners. No feature should be interpreted as creating a fiduciary or escrow relationship unless Batonic expressly states otherwise in writing and applicable law permits it.
2. Definitions
For purposes of these Terms:
"Account" means the personal or organizational user identity through which an individual accesses Batonic.
"Storefront" means a seller identity controlled by one or more authorized Accounts and through which Batons may be offered.
"Seller" means the person or legal entity responsible for a Storefront and the Batons offered through it.
"Buyer" means the Account purchasing or otherwise acquiring rights to a Baton.
"Baton" means any offering made available through Batonic, including a digital product, physical good, service, license, subscription, package, deliverable, project, or hybrid combination thereof.
"User" means any person or legal entity that accesses or uses the Platform.
"User Content" means content submitted, uploaded, transmitted, published, sold, delivered, or otherwise made available by a User, including Baton files, descriptions, images, video, source code, documents, 3D models, previews, messages, reviews, and deliverables.
"Transaction" means a purchase, sale, license, service engagement, subscription, or other exchange facilitated through Batonic.
"Platform Fees" means fees charged by Stratiline Labs for use of Batonic, excluding amounts payable to Sellers, taxes, shipping costs, and third-party payment-processing charges unless expressly stated otherwise.
3. Eligibility and Authority
You must be at least eighteen (18) years old and legally capable of entering into a binding contract to create an Account, operate a Storefront, sell a Baton, or enter into a Transaction through Batonic.
If you use Batonic on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
You may not use Batonic if applicable law prohibits you from receiving or using the Platform, if you are subject to sanctions or restrictions that make such use unlawful, or if Batonic has previously terminated or prohibited your access and has not expressly authorized you to return.
4. Account and Storefront Identity
An Account and a Storefront are separate Platform identities.
Accounts may purchase Batons, maintain wishlists, receive gifts, communicate with Storefronts, and perform other Buyer-oriented functions.
Storefronts are commercial identities through which Sellers publish Batons, conduct sales, receive Transaction proceeds, communicate with customers, and manage Seller activity.
Creating or operating a Storefront does not create a separate legal entity or shield the Account holder, business, or other person operating that Storefront from responsibility. The person or legal entity operating a Storefront remains responsible for the Storefront's activity.
Where multiple Accounts are authorized to operate a Storefront, the Storefront owner is responsible for managing those permissions and for activity performed through authorized access, subject to applicable law.
5. Account Security and Accuracy
Users must provide accurate information where Batonic requires it and must keep material Account and Storefront information reasonably current.
You are responsible for maintaining the confidentiality and security of passwords, authentication methods, recovery credentials, API credentials, and other access mechanisms associated with your Account.
You must promptly notify Batonic at support@batonic.app if you reasonably believe your Account has been compromised or accessed without authorization.
Batonic may require identity verification, additional authentication, password resets, session revocation, payment verification, or other reasonable security measures before allowing continued access to some or all Platform features.
6. User-Generated Content
Batons and other content submitted by Users are User Content.
Batonic does not claim ownership of User Content merely because it is uploaded, displayed, processed, sold, licensed, delivered, or otherwise used through Batonic. As between you and Stratiline Labs, you retain whatever intellectual-property rights you otherwise hold in your User Content.
You grant Stratiline Labs a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, cache, reproduce, process, encode, transcode, resize, generate previews of, display, transmit, distribute, and otherwise technically use your User Content as reasonably necessary to operate Batonic; provide requested features; display and market a Baton or Storefront; deliver purchased content; generate previews, embeds, thumbnails, and Platform representations; maintain Transaction and compliance records; prevent fraud, abuse, and security incidents; enforce these Terms; resolve disputes; secure, maintain, and improve the Platform; and comply with applicable law.
This license does not transfer ownership of User Content to Stratiline Labs.
The license continues for as long as reasonably necessary to provide the Platform and, following deletion or termination, only to the extent reasonably necessary for backups, completed Transactions, fraud prevention, security, legal compliance, dispute resolution, and other lawful record-retention purposes.
7. Seller Representations and Responsibility
A Seller is solely responsible for the Batons the Seller offers.
By publishing or selling a Baton, the Seller represents and warrants that the Seller has the legal right to offer the Baton; the Baton is lawful; the listing accurately represents what the Buyer will receive; the Seller possesses all rights, licenses, permissions, authorizations, and consents necessary to offer the Baton; the Baton does not unlawfully infringe another person's rights; the Seller will fulfill the Transaction according to its advertised terms; material disclosures have not been intentionally omitted; the Baton complies with these Terms and applicable law; and information provided to Batonic, Buyers, and payment processors is accurate.
Sellers are responsible for determining and complying with laws applicable to their products, services, licenses, taxes, warranties, advertising, fulfillment, professional activities, safety obligations, and customers.
8. Seller Assumption of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SELLER, AND NOT BATONIC OR STRATILINE LABS, IS RESPONSIBLE FOR CLAIMS, INJURIES, LOSSES, DAMAGES, LIABILITIES, DEFECTS, FAILURES, OR OTHER CONSEQUENCES ARISING FROM OR RELATING TO THE SELLER'S BATON, USER CONTENT, REPRESENTATIONS, OMISSIONS, OR CONDUCT.
This includes claims arising from defective or dangerous physical goods; bodily injury, death, or property damage; defective software; malware or malicious content; data loss or corruption; security vulnerabilities; professional or other services; negligent performance; inaccurate instructions; intellectual-property infringement; misrepresentation or fraudulent concealment; false advertising; breach of warranty; failure to fulfill a service or deliverable; unlawful content or products; improper licensing; or violation of regulatory, professional, consumer-protection, safety, or other legal requirements.
A Seller may not represent or imply that Stratiline Labs guarantees, endorses, manufactures, licenses, certifies, approves, or assumes responsibility for the Seller's Baton merely because it is available through Batonic.
Batonic's transaction-protection and dispute-resolution features do not transfer the Seller's underlying liability to Stratiline Labs.
9. Buyer Acknowledgment and Assent
Purchasing a Baton constitutes the Buyer's assent to these Terms and to the material Transaction terms presented to the Buyer before purchase.
Buyers acknowledge that Batons are provided by independent Sellers unless Batonic expressly states otherwise.
Buyers are responsible for reviewing reasonably available descriptions, specifications, compatibility requirements, license terms, fulfillment terms, package selections, options, disclosures, pricing, and other material information before purchasing.
A Buyer's completion of checkout or other affirmative purchase action may be used as evidence of assent to the Transaction terms presented at that time.
Nothing in this section waives a Buyer's rights that cannot lawfully be waived.
10. Prohibited Goods, Services, Content, and Conduct
Batonic may not be used to create, advertise, arrange, facilitate, finance, purchase, sell, distribute, deliver, license, or otherwise support illegal activity.
10.1 Illegal Goods and Services
Users may not use Batonic to offer or facilitate goods, services, Transactions, or conduct prohibited by applicable law.
10.2 Controlled Substances and Drug Paraphernalia
Batonic may not be used to facilitate the unlawful sale, distribution, manufacture, delivery, or procurement of controlled substances, illegal drugs, or drug paraphernalia.
10.3 Firearms, Ammunition, Explosives, and Weapons
Batonic may not be used to sell or facilitate Transactions involving firearms, ammunition, firearm parts or components prohibited by Batonic, explosives, or other weapons prohibited under Batonic policies or applicable law.
Batonic may establish restrictions broader than applicable law regarding weapons and related items offered through the Platform.
10.4 Child Sexual Abuse Material and Child Exploitation
Batonic strictly prohibits child sexual abuse material ("CSAM") and any content, Transaction, communication, service, or activity that sexually exploits, abuses, grooms, traffics, or endangers a minor.
This prohibition applies regardless of whether consideration is exchanged.
Batonic may immediately preserve relevant information, restrict access, terminate Accounts or Storefronts, and report suspected child exploitation to appropriate authorities or legally designated reporting organizations where required or permitted by law.
10.5 Criminal Instruction and Facilitation
Batonic may not be used to sell, distribute, commission, or facilitate content or services whose purpose is to materially enable the commission of a crime or the construction, manufacture, acquisition, concealment, or distribution of illegal contraband.
This includes instructional products specifically designed to facilitate criminal conduct.
This provision is not intended to prohibit legitimate educational, historical, journalistic, academic, fictional, cybersecurity, safety, or other lawful material merely because it discusses illegal activity.
10.6 Prostitution, Trafficking, and Unlawful Commercial Sexual Services
Batonic may not be used to advertise, purchase, sell, arrange, solicit, facilitate, or receive payment for prostitution or unlawful commercial sexual services.
Batonic also prohibits Transactions involving sexual exploitation, sexual trafficking, or coercive sexual activity.
10.7 Sanctions, Export Controls, and Restricted Parties
Batonic may not be used to violate, circumvent, evade, or facilitate the circumvention or evasion of economic sanctions, trade restrictions, export controls, asset-blocking requirements, or other restrictions administered or enforced by the United States government or another authority having jurisdiction over the Transaction.
Users may not use Batonic to transact with a sanctioned or blocked person or entity, or in connection with a jurisdiction, territory, activity, property, service, or Transaction where doing so would violate applicable sanctions or trade restrictions.
Users are responsible for ensuring their use of Batonic complies with applicable sanctions and export-control laws.
10.8 Stolen, Counterfeit, or Fraudulent Property
Batonic may not be used to sell stolen property, fraudulently obtained property, counterfeit goods, unauthorized credentials, unlawfully obtained financial information, or other property the Seller has no legal right to transfer.
10.9 Fraud, Money Laundering, and Deceptive Conduct
Users may not use Batonic to commit or facilitate fraud, scams, deceptive Transactions, money laundering, payment fraud, identity theft, chargeback abuse, market manipulation, or other dishonest or unlawful activity.
10.10 Regulated Goods and Activities
Batonic may prohibit or restrict Transactions involving goods, services, or activities subject to heightened legal, financial, safety, licensing, or age restrictions, including prescription drugs, tobacco or nicotine products, alcohol, cannabis products, gambling services, securities or regulated financial products, and other regulated offerings.
Batonic may impose restrictions broader than applicable law where reasonably necessary to protect the Platform, Users, payment processors, or Stratiline Labs.
10.11 Circumvention of Prohibited-Content Rules
A User may not attempt to avoid these restrictions through euphemisms, coded listings, external links, private Batons, misleading descriptions, alternate Accounts or Storefronts, messaging, file attachments, encryption, or any other mechanism.
The fact that a Baton is unlisted, private, accessible only through a direct link, encrypted, or delivered after purchase does not exempt it from these Terms.
11. Platform Enforcement
Batonic may investigate suspected violations of these Terms.
To protect Users, payment networks, Stratiline Labs, or third parties, or to comply with law, Batonic may, where reasonably appropriate:
- remove or restrict User Content; - prevent publication of a Baton; - suspend a Baton; - cancel or restrict a Transaction; - delay or restrict payouts where permitted; - limit an Account or Storefront; - require identity or Transaction verification; - request documentation; - preserve records; - terminate an Account or Storefront; - refund a Transaction where authorized under these Terms; - report activity to payment processors; or - report conduct to governmental, regulatory, or law-enforcement authorities where required or permitted by law.
Batonic is not obligated to pre-screen every Baton or continuously monitor every User.
A failure to identify or remove prohibited User Content does not constitute Batonic's endorsement, certification, or approval of that content.
12. Payments and Payment Processing
Batonic may use third-party payment-processing infrastructure.
Users utilizing payment functionality may be required to agree to additional terms imposed by the applicable payment processor.
Sellers receiving payouts may be required to establish and maintain an eligible connected payment account and comply with applicable processor agreements.
Batonic does not guarantee that any payment method, processor, payout method, or financial service will remain available.
Payment processors may independently restrict, delay, reverse, investigate, or refuse Transactions in accordance with their agreements and applicable law.
13. Platform Fees
Batonic may charge Buyers, Sellers, or both fees disclosed before the applicable Transaction or otherwise disclosed through the Platform.
Unless otherwise required by law, Platform Fees already earned by Batonic are not refundable merely because a Buyer or Seller subsequently disputes the underlying Transaction.
Applicable payment-processing fees, chargeback fees, taxes, currency-conversion charges, shipping charges, or third-party costs may be separately applicable.
14. Pricing and Seller Offers
Sellers are responsible for setting lawful prices and accurately presenting pricing, discounts, packages, add-ons, recurring charges, taxes, shipping charges, and other amounts for which the Seller is responsible.
Batonic may provide pricing, sale, package, or promotion tools but does not guarantee that a Seller's pricing strategy, discount, comparative-price statement, or promotional claim complies with applicable law.
A Seller may not use fabricated reference prices, deceptive discounts, hidden mandatory charges, or materially misleading pricing practices.
15. Inspection Periods
Eligible Transactions may include an inspection period.
Unless a different period is clearly displayed for a Transaction, Batonic may provide an eligible Buyer up to 48 hours after qualifying delivery to inspect the Baton and report a material problem.
The inspection period is intended to determine whether the Seller substantially delivered what was represented at purchase. It is not an unconditional return period.
A Buyer's change of mind, subjective dissatisfaction, failure to review disclosed requirements, or incompatibility that the Seller did not misrepresent does not automatically establish a valid claim.
If a Buyer does not timely raise an eligible issue during the inspection period, Batonic may treat the Transaction as accepted for purposes of Platform administration and may permit release of eligible proceeds, subject to chargebacks, fraud reviews, legal requirements, and other provisions of these Terms.
16. Transaction Snapshots
Batonic may preserve a snapshot or record of the material Transaction terms existing when a purchase occurs.
This may include listing descriptions, previews, selected packages, options, prices, license terms, milestones, deliverables, shipping terms, fulfillment methods, and other material disclosures.
Subsequent changes to a Baton do not retroactively alter the terms of an already completed purchase unless the Buyer and Seller expressly agree otherwise.
These records may be considered during a dispute.
17. Material Misrepresentation
A Baton may be materially misrepresented where an objectively significant difference exists between what the Seller represented at purchase and what was actually provided.
Examples may include materially different goods or files, counterfeit goods, significant undisclosed damage, materially missing advertised components, materially incomplete deliverables, falsely advertised functionality, fraudulent descriptions, or failure to deliver substantially what was purchased.
Batonic may consider the entire Transaction and available evidence.
A minor discrepancy, subjective preference, immaterial difference, or condition clearly disclosed before purchase does not necessarily constitute material misrepresentation.
18. Dispute Resolution Between Buyers and Sellers
Batonic may provide a process through which Buyers and Sellers can submit evidence concerning a Transaction.
Batonic may consider information including Transaction snapshots, Platform messages, files, delivery records, tracking information, milestone records, inspection activity, photographs, Baton descriptions, and evidence supplied by either party.
Batonic may determine, for purposes of administering the Platform Transaction, whether to release funds, issue or authorize a full or partial refund, deny a Platform claim, request additional information, or take other action permitted by these Terms.
A Batonic Transaction decision is an administrative determination concerning the Transaction protections provided by Batonic. It is not a judicial determination of legal liability.
Batonic does not become legally responsible for a Seller's Baton because Batonic resolves or attempts to resolve a dispute.
Users agree to provide truthful information and authentic evidence in disputes. Fabricated evidence, altered records, material omissions, coordinated abuse, or knowingly false claims may result in denial of protection, Account action, or other enforcement.
19. Refunds
Refund eligibility is governed by these Terms, the material terms displayed for the Transaction, applicable law, and any additional Batonic policy applicable to the Transaction.
Batonic may authorize or process a full or partial refund where permitted by these Terms, including where a Seller agrees, where Batonic determines that Platform transaction protections apply, where a payment processor requires it, or where applicable law requires it.
A refund issued through Batonic does not necessarily determine legal fault or liability between Buyer and Seller.
20. Digital Batons
Sellers of digital Batons are responsible for ensuring that delivered files are substantially as represented and that they possess the necessary distribution or licensing rights.
Buyers are responsible for complying with applicable license terms.
Unless expressly stated otherwise, purchasing digital content does not transfer the Seller's underlying copyright or intellectual-property ownership to the Buyer.
A Seller may impose lawful license restrictions, but those restrictions must be disclosed before purchase when material to the Buyer's rights.
21. Physical Batons
Sellers offering physical goods are responsible for lawful sale, accurate condition descriptions, packaging, shipment, fulfillment, product safety, required warnings, authenticity, and compliance with applicable consumer and product laws.
Batonic does not manufacture, inspect, warehouse, certify, or take possession of physical goods merely because a Transaction occurs through Batonic.
Unless Batonic expressly states otherwise, Batonic is not responsible for shipping-carrier acts or omissions, loss in transit, delay, damage, customs handling, or delivery failures caused by unaffiliated carriers.
22. Local Delivery and Pickup
When Buyers and Sellers elect local delivery or pickup, they assume the risks ordinarily associated with an in-person exchange.
Batonic may provide coordination, location, verification, QR-code, or Transaction-record functionality but does not supervise the meeting.
Users are responsible for choosing safe and lawful locations and exercising appropriate judgment.
23. Services and Milestones
For service Batons, the Seller—not Batonic—is the service provider.
Milestone functionality is a Transaction-management mechanism and does not make Batonic an employer, contractor, subcontractor, partner, joint venturer, or agent of either party.
Sellers remain responsible for professional qualifications, licenses, insurance, performance, timelines, deliverables, and compliance required for their services.
Where milestones are used, a milestone's funding, delivery, inspection, acceptance, revision, refund, or payout status may be administered separately from other milestones according to the Transaction terms shown on the Platform.
24. Subscriptions and Recurring Charges
Where Batonic or a Seller offers a recurring subscription, the cadence, price, renewal terms, cancellation method, and material recurring-charge information must be presented before purchase as required by applicable law.
By purchasing a recurring subscription, the Buyer authorizes recurring charges according to the terms presented at checkout until the subscription is canceled, expires, or is otherwise terminated.
Cancellation ordinarily prevents future renewals and does not automatically create a right to a refund for an already-billed period unless the Transaction terms or applicable law provide otherwise.
25. No Employment, Partnership, Agency, or Fiduciary Relationship
Nothing in these Terms creates an employment, partnership, franchise, fiduciary, joint-venture, or agency relationship between Stratiline Labs and any Buyer, Seller, Account holder, Storefront operator, or other User.
Sellers independently determine what they offer, the lawful prices and terms on which they offer it, and how they perform their obligations, subject to these Terms and applicable law.
No User has authority to bind Stratiline Labs, make commitments on behalf of Stratiline Labs, incur obligations in the name of Stratiline Labs, or represent that Stratiline Labs endorses or guarantees the User or the User's Baton.
26. Taxes
Except where Stratiline Labs is required by law to calculate, collect, withhold, report, or remit a tax, Sellers are responsible for determining and satisfying taxes, duties, assessments, registrations, filings, and other governmental obligations arising from their activities through Batonic.
Batonic may calculate, collect, withhold, report, or remit taxes where required by applicable law.
Users are responsible for providing accurate tax information when requested.
Nothing provided through Batonic constitutes tax, accounting, or legal advice.
27. Chargebacks, Reversals, and Payment Disputes
A payment dispute or chargeback initiated through a bank, card issuer, payment network, or payment processor is separate from Batonic's internal Transaction-dispute process.
Sellers acknowledge that Transaction proceeds may be reversed, withheld, debited, or otherwise affected by chargebacks, payment reversals, fraud determinations, processor requirements, or applicable law.
To the extent permitted by law and applicable payment-processing agreements, a Seller is responsible for losses, chargebacks, reversals, penalties, or other amounts attributable to the Seller's Transactions, conduct, products, services, fraud, misrepresentation, or violation of these Terms.
Batonic may provide Transaction information or evidence to a payment processor, card network, financial institution, Buyer, or other appropriate party for purposes of responding to a payment dispute.
Users may not knowingly misuse chargebacks or payment disputes to obtain goods, services, files, licenses, or other benefits without payment.
28. Payout Holds, Reserves, and Delays
Where permitted by law and applicable payment-processing arrangements, Batonic or its payment-processing partners may delay, restrict, reserve, or withhold access to Transaction proceeds when reasonably necessary to address an active Transaction dispute; suspected fraud; a chargeback or reversal; suspected violation of these Terms; legal or regulatory requirements; sanctions screening; unusual Transaction activity; negative balances; anticipated refunds; payment-processor requirements; or a reasonable risk of loss to Batonic, a Buyer, a payment processor, or another party.
Nothing in these Terms requires Stratiline Labs to release funds when doing so would violate applicable law or a binding requirement imposed by a payment processor or governmental authority.
29. Intellectual Property Rights in Batonic
Batonic, including its software, source code, interfaces, designs, trademarks, logos, branding, databases, documentation, and other materials created by or for Stratiline Labs, is owned by Stratiline Labs or its applicable licensors and is protected by United States and other applicable intellectual-property laws.
Except for the limited right to use the Platform in accordance with these Terms, no rights in Batonic's intellectual property are transferred to Users.
"Batonic," applicable Batonic logos, and other Stratiline Labs marks may not be used in a manner that falsely suggests sponsorship, endorsement, affiliation, or authorization.
This section does not give Stratiline Labs ownership of User Content.
30. Copyright Complaints and DMCA Notices
Stratiline Labs respects intellectual-property rights and may remove or restrict access to material that infringes or is alleged to infringe copyright.
A copyright owner or authorized representative who believes material available through Batonic infringes a copyright may send a written notice to support@batonic.app containing the information required by applicable law, including sufficient identification of the copyrighted work, identification and location of the allegedly infringing material, sufficient contact information for the complaining party, and the statements and signature required for a valid copyright notice.
Batonic may forward a copyright complaint, including identifying information contained in the complaint, to the User who supplied the challenged material where appropriate or required by law.
A User whose material is removed may submit a legally sufficient counter-notification to support@batonic.app where applicable.
Where appropriate and consistent with applicable law, Stratiline Labs may terminate or restrict repeat infringers.
Nothing in this section represents that the contact information stated in these Terms, standing alone, satisfies every registration or public-designation requirement that may apply to an online service provider under the Digital Millennium Copyright Act or other law.
31. Reviews, Messages, and User Communications
Users are responsible for reviews, messages, comments, and other communications they submit through Batonic.
Users may not knowingly submit fraudulent reviews, impersonate another person, threaten or unlawfully harass another User, manipulate Platform reputation systems, coordinate review fraud, or use communications to facilitate activity prohibited by these Terms.
Batonic may moderate, restrict, or remove communications or reviews where permitted by these Terms or applicable law.
Batonic does not necessarily endorse statements made by Users.
32. External Links and Third-Party Content
User-supplied links may direct a User away from Batonic. Batonic does not control and is not responsible for third-party websites, content, downloads, privacy practices, security practices, goods, services, or representations merely because a User links to them through the Platform.
Users are responsible for exercising appropriate judgment before leaving Batonic, sharing information with a third party, downloading third-party content, or entering into an off-Platform arrangement.
Users may not use external links to circumvent these Terms, Batonic fees, prohibited-content rules, transaction protections, or Platform restrictions.
33. Third-Party Services
Batonic may integrate with services provided by third parties, including payment processors, shipping providers, identity-verification providers, mapping providers, cloud-hosting providers, analytics providers, and other technology providers.
Those services may be subject to separate agreements between the User and the applicable provider.
To the maximum extent permitted by law, Stratiline Labs is not responsible for the independent acts, omissions, outages, policies, security practices, or performance of unaffiliated third-party providers.
Nothing in this section limits responsibility that applicable law does not permit Stratiline Labs to disclaim.
34. Platform Availability and Modifications
Stratiline Labs may modify, update, replace, discontinue, restrict, or temporarily suspend features of Batonic.
Batonic does not guarantee that the Platform or any particular feature will be continuously available, uninterrupted, error-free, secure against every threat, or compatible with every device, file, browser, operating system, third-party service, or configuration.
Stratiline Labs may perform maintenance, security updates, migrations, emergency repairs, or other technical operations that temporarily affect Platform availability.
Where commercially reasonable, Batonic may attempt to provide notice of material changes that significantly affect active Transactions.
35. Account Suspension and Termination
Stratiline Labs may suspend, restrict, or terminate an Account, Storefront, Baton, Transaction, or access to some or all Platform functionality where reasonably necessary to enforce these Terms; protect Buyers, Sellers, or third parties; investigate suspected fraud or unlawful activity; comply with applicable law or legal process; comply with payment-processor requirements; address sanctions or export-control concerns; prevent security threats; respond to intellectual-property violations; protect Stratiline Labs from material financial or legal risk; or address repeated or serious Platform abuse.
Where appropriate, Batonic may permit a User to appeal or provide additional information.
Termination does not extinguish obligations or liabilities arising before termination.
Sections that by their nature should survive termination—including provisions concerning ownership, payment obligations, indemnification, disclaimers, limitations of liability, disputes, and governing law—survive termination.
36. No Warranty Regarding User-Generated Batons
BATONS ARE USER-GENERATED OFFERINGS PROVIDED BY INDEPENDENT SELLERS.
Except for express Platform commitments made by Stratiline Labs in these Terms, and to the maximum extent permitted by applicable law, Stratiline Labs makes no representation or warranty regarding the quality, safety, legality, merchantability, authenticity, accuracy, fitness, performance, reliability, ownership, licensing, or suitability of a User-generated Baton.
Batonic's availability of a Baton does not constitute an endorsement, certification, warranty, or guarantee of that Baton or its Seller.
Nothing in this section eliminates transaction protections expressly promised by Batonic under these Terms.
37. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
Stratiline Labs disclaims all warranties regarding the Platform that may lawfully be disclaimed, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Stratiline Labs does not warrant that Batonic will be uninterrupted, completely secure, error-free, or free from all harmful components.
The foregoing does not disclaim any warranty, right, or remedy that cannot lawfully be disclaimed under applicable law.
38. Seller Indemnification
To the maximum extent permitted by applicable law, each Seller agrees to defend, indemnify, and hold harmless Stratiline Labs and its affiliates, officers, directors, employees, contractors, agents, successors, and assigns from and against third-party claims, actions, proceedings, liabilities, damages, judgments, settlements, penalties, fines, losses, and reasonable attorneys' fees and costs arising out of or relating to:
1. the Seller's Baton; 2. injury, death, or property damage caused by the Seller's goods or services; 3. the Seller's User Content; 4. infringement or alleged infringement of another person's rights; 5. the Seller's representations or warranties; 6. the Seller's failure to fulfill a Transaction; 7. the Seller's violation of law; 8. the Seller's taxes or regulatory obligations; 9. the Seller's misuse of Batonic; or 10. the Seller's breach of these Terms.
Stratiline Labs may control the defense of a claim subject to indemnification where reasonably necessary to protect its interests.
A Seller may not enter into a settlement imposing liability, admission, obligation, or restriction upon Stratiline Labs without Stratiline Labs' prior written consent.
39. User Indemnification
To the maximum extent permitted by applicable law, each User agrees to indemnify and hold harmless Stratiline Labs and its affiliates, officers, directors, employees, contractors, agents, successors, and assigns from third-party claims arising from the User's unlawful use of Batonic, User Content, violation of another person's rights, or material breach of these Terms.
This section does not require a consumer to indemnify Stratiline Labs to the extent such an obligation is prohibited by applicable law.
40. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRATILINE LABS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO BATONIC, A BATON, A TRANSACTION, USER CONTENT, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
To the maximum extent permitted by applicable law, Stratiline Labs will not be liable for damages caused by a Seller's product, service, content, instructions, software, physical goods, conduct, representations, omissions, or failure to perform.
To the maximum extent permitted by applicable law, Stratiline Labs' aggregate liability arising from or relating to the Platform or these Terms will not exceed the greater of:
(A) the amount of Platform Fees actually paid to Stratiline Labs by the User during the twelve months immediately preceding the event giving rise to the claim; or (B) one hundred United States dollars (US $100).
For purposes of this limitation, amounts paid for a Baton that are transmitted to a Seller, taxes, shipping charges, and third-party payment-processing charges are not Platform Fees paid to Stratiline Labs.
The limitations in this section apply only to the extent permitted by applicable law. Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law.
41. Release Regarding User-to-User Disputes
To the maximum extent permitted by applicable law, Users acknowledge that disputes concerning a User-generated Baton ordinarily exist between the Buyer and Seller.
Except for Stratiline Labs' own obligations expressly undertaken under these Terms, Users release Stratiline Labs and its affiliates, officers, directors, employees, contractors, and agents from claims arising solely from the acts, omissions, products, services, representations, or conduct of another User.
This release does not waive claims against Stratiline Labs that applicable law does not permit a User to waive.
42. Compliance With United States Law
Batonic is operated from the United States.
Users must use Batonic in compliance with applicable United States federal law and the laws applicable to their activities.
Nothing in these Terms authorizes conduct prohibited by federal law, Ohio law, applicable sanctions or export-control requirements, or other applicable law.
Where use of Batonic from another jurisdiction would violate applicable law, the User may not use Batonic for that activity.
43. Governing Law
These Terms and any dispute arising out of or relating to these Terms, Batonic, a User's use of Batonic, or Stratiline Labs' provision of the Platform are governed by the laws of the State of Ohio and applicable United States federal law, without regard to Ohio's conflict-of-laws principles, except to the extent applicable law requires otherwise.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms to the extent its application may lawfully be excluded.
Nothing in this section deprives a consumer of a non-waivable protection provided by applicable law.
44. Informal Dispute Resolution With Stratiline Labs
Before initiating arbitration or litigation against Stratiline Labs, a User must first send a written notice of dispute to support@batonic.app describing the nature of the dispute, relevant facts, the relief requested, and sufficient information for Batonic to identify the Account or Transaction involved.
The User and Stratiline Labs will have at least thirty (30) days after receipt of a sufficiently detailed notice to attempt in good faith to resolve the dispute informally before either party initiates arbitration or non-small-claims litigation, except where immediate injunctive relief is reasonably necessary.
45. Agreement to Arbitrate
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS HOW CERTAIN DISPUTES BETWEEN YOU AND STRATILINE LABS MAY BE RESOLVED.
Except for disputes expressly excluded below, and to the extent permitted by applicable law, you and Stratiline Labs agree that disputes, claims, or controversies arising out of or relating to these Terms, Batonic, or the relationship between you and Stratiline Labs will be resolved through binding individual arbitration rather than a trial before a judge or jury.
The Federal Arbitration Act, 9 U.S.C. §§ 1–16, governs the interpretation and enforcement of this arbitration agreement to the extent applicable.
Arbitration will be administered by the American Arbitration Association ("AAA") under the AAA rules applicable to the dispute, including the Consumer Arbitration Rules for qualifying consumer disputes and the Commercial Arbitration Rules for applicable business disputes, as modified by these Terms and subject to applicable law.
Unless the parties agree otherwise, arbitration may be conducted remotely, by documents, by telephone or videoconference, or in another manner permitted by the applicable AAA rules. Any in-person hearing will occur in Ohio unless applicable law or the applicable arbitration rules require otherwise.
The arbitrator may award any individual remedy that would otherwise be available in a court of competent jurisdiction, subject to lawful limitations contained in these Terms.
Nothing in this section prevents either party from bringing an eligible individual action in small claims court.
Nothing in this section prevents either party from seeking temporary, preliminary, or injunctive relief from a court of competent jurisdiction where reasonably necessary to protect intellectual property, confidential information, Platform security, or prevent imminent unlawful conduct pending final resolution of a dispute.
A User may opt out of this arbitration agreement by sending a clear written opt-out notice to support@batonic.app within thirty (30) days after the User first accepts the version of these Terms containing this arbitration agreement. The notice must identify the Account and clearly state that the User is opting out of the arbitration agreement. Opting out of arbitration does not opt the User out of the remainder of these Terms.
46. Class, Collective, and Representative Action Waiver
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND STRATILINE LABS AGREE THAT CLAIMS SUBJECT TO ARBITRATION WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, OR REPRESENTATIVE PROCEEDING.
An arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim, except where applicable law requires otherwise.
If a final judicial determination concludes that a particular portion of this waiver cannot lawfully be enforced with respect to a particular claim or remedy, that claim or remedy will be handled as required by applicable law while the remaining enforceable portions remain effective.
47. Court Venue for Non-Arbitrable Disputes
For any dispute between a User and Stratiline Labs that is not subject to arbitration, and where applicable law permits the parties to select a forum, the parties consent to the exclusive jurisdiction of an appropriate state or federal court located in the State of Ohio that has jurisdiction over the dispute and the parties.
Each party waives objections to personal jurisdiction and venue in such courts to the extent those objections may lawfully be waived.
Nothing in this provision prevents an eligible claim from being brought in a small claims court where permitted by Section 45.
48. Buyer-Seller Legal Disputes
Batonic's internal Transaction-dispute process concerns administration of Batonic's Platform protections. It does not replace legal rights or remedies Buyers and Sellers may have against each other.
Unless Stratiline Labs is itself a party to the dispute, the arbitration and Ohio venue provisions governing disputes with Stratiline Labs do not require two Users to resolve their independent dispute with each other in Ohio.
A Buyer or Seller remains responsible for pursuing any independent legal claim against the other party through an appropriate forum.
Stratiline Labs is not required to prosecute, defend, finance, arbitrate, or litigate a User's claim against another User.
49. Legal Process, Records, and Cooperation
Stratiline Labs may preserve or disclose information when reasonably necessary to comply with applicable law, a valid subpoena, warrant, court order, governmental demand, regulatory requirement, sanctions obligation, or other legally enforceable process.
Stratiline Labs may challenge requests that it reasonably believes are unlawful, overbroad, or otherwise inappropriate but is not obligated to do so on behalf of a User.
Nothing in these Terms requires Stratiline Labs to conceal, destroy, alter, or withhold evidence in violation of applicable law.
Users may not demand deletion, modification, or concealment of records that Batonic reasonably needs to preserve for an active Transaction, dispute, fraud investigation, chargeback, security matter, tax or accounting requirement, litigation hold, law-enforcement request, or other legal obligation.
50. Changes to These Terms
Stratiline Labs may modify these Terms from time to time to reflect changes to Batonic, applicable law, regulatory requirements, payment-processing requirements, security practices, business operations, Platform functionality, or Platform policies.
When these Terms are modified, Stratiline Labs will update the "Last Updated" date displayed with the Terms.
Where required by applicable law, or where Stratiline Labs determines that a change materially affects Users' rights or obligations, Stratiline Labs may provide additional notice through the Platform, by email, through an Account notification, during sign-in, at checkout, or by another reasonable method.
Unless otherwise stated in the notice accompanying a modification, updated Terms will become effective when posted or on the effective date identified in the updated Terms.
Changes will not retroactively alter the material terms of a Transaction completed before the applicable change became effective unless the Buyer and Seller expressly agree; the change is necessary to comply with applicable law, legal process, governmental requirements, sanctions requirements, or payment-network requirements; the change is reasonably necessary to address fraud, security threats, unlawful activity, or abuse; or retroactive application is otherwise permitted or required by law.
If applicable law requires affirmative consent to a material modification, Stratiline Labs may require the User to affirmatively accept the updated Terms before continuing to use some or all of Batonic.
Continued access to or use of Batonic after updated Terms become effective constitutes acceptance to the extent legally enforceable.
If a User does not agree to updated Terms, the User must discontinue use of Batonic and may close the User's Account, subject to outstanding Transactions, payment obligations, disputes, legal holds, record-retention requirements, and obligations that survive termination.
A User's refusal to accept updated Terms does not eliminate obligations arising from prior Transactions, conduct, or agreements.
Stratiline Labs may require acceptance of updated Terms before permitting a User to initiate new Transactions, publish or modify Batons, operate a Storefront, receive payouts, or otherwise continue using functionality governed by the updated Terms.
No modification made by a User is binding upon Stratiline Labs unless expressly agreed to in a written instrument executed by an authorized representative of Stratiline Labs.
51. Platform Limits, Fair Use, and Anti-Circumvention
Batonic may establish technical, operational, financial, storage, bandwidth, Transaction, usage, request, API, upload, download, file-size, Baton-size, Account, Storefront, messaging, rate, plan, or other limits applicable to the Platform or particular plans, features, Users, or services.
Users must comply with those limits.
A USER MAY NOT ATTEMPT TO CIRCUMVENT, EVADE, DEFEAT, BYPASS, MANIPULATE, OR ARTIFICIALLY EXTEND A PLATFORM LIMIT, ALLOWANCE, RESTRICTION, SECURITY CONTROL, ACCESS CONTROL, RATE LIMIT, DATA LIMIT, STORAGE LIMIT, PLAN LIMIT, TRANSACTION LIMIT, OR OTHER RULE IMPOSED BY BATONIC.
Prohibited circumvention includes:
- creating or coordinating multiple Accounts or Storefronts to evade an allowance or restriction; - dividing data, files, Batons, Transactions, or activity for the purpose of evading a Platform limit; - manipulating requests, clients, headers, identifiers, sessions, APIs, or authentication mechanisms; - automating activity in a manner intended to evade rate limits or usage controls; - accessing undocumented, restricted, disabled, or unauthorized functionality; - bypassing payment, subscription, storage, bandwidth, file-size, Transaction, or feature restrictions; - using another User's Account, credentials, allowance, or resources to circumvent restrictions; - interfering with metering, billing, logging, fraud detection, security controls, or enforcement mechanisms; - exploiting bugs, implementation errors, race conditions, configuration mistakes, or other technical behavior to obtain functionality, resources, data, access, or allowances that Batonic did not intentionally provide; or - otherwise attempting to obtain Platform resources or privileges beyond those intentionally made available to the User.
The existence of a technical method for bypassing a restriction does not constitute permission to do so.
ATTEMPTING TO CIRCUMVENT PLATFORM LIMITS, ALLOWANCES, ACCESS CONTROLS, OR THESE TERMS MAY RESULT IN IMMEDIATE RESTRICTION, SUSPENSION, OR TERMINATION WITHOUT PRIOR NOTICE, TO THE EXTENT PERMITTED BY APPLICABLE LAW.
52. Excessive Traffic, Automation, Scraping, and Resource Abuse
Users may not access or use Batonic in a manner that imposes, or could reasonably be expected to impose, an excessive, abusive, disproportionate, or unnecessary burden on the Platform or its infrastructure.
Stratiline Labs may establish and enforce rate limits, concurrency limits, bandwidth restrictions, request limits, download restrictions, API quotas, upload restrictions, or other technical safeguards.
Without authorization from Stratiline Labs, Users may not generate excessive automated requests; conduct abusive scraping, crawling, indexing, harvesting, or enumeration; intentionally generate unnecessary network, compute, database, storage, bandwidth, or processing load; conduct denial-of-service activity; intentionally exhaust Platform resources; repeatedly request substantially identical resources in a manner that materially burdens the Platform; use automation to interfere with normal operation; bypass robots, rate-limit, authentication, anti-abuse, or security controls; probe or scan the Platform in a manner that threatens availability or security; or use Batonic infrastructure primarily as a substitute for a general-purpose file host, content-delivery network, compute service, proxy, relay, or other service Batonic does not intentionally provide.
EXCESSIVE TRAFFIC, REQUEST VOLUME, RESOURCE CONSUMPTION, AUTOMATION, OR OTHER ACTIVITY THAT THREATENS PLATFORM PERFORMANCE, SECURITY, RELIABILITY, COST, OR AVAILABILITY MAY BE THROTTLED, RATE-LIMITED, BLOCKED, SUSPENDED, OR BANNED WITHOUT PRIOR WARNING.
Stratiline Labs is not required to wait until abusive activity causes an outage, security incident, financial loss, or degradation to other Users before taking protective action.
53. Interference With Platform Operations
Users may not take any action that materially interferes with, disrupts, degrades, manipulates, obstructs, or prevents Batonic from providing the Platform or fulfilling its obligations under these Terms.
This includes interference with content delivery; Transaction processing; payment processing; payout administration; inspections; refunds; disputes; fraud prevention; security systems; fulfillment records; communications; evidence preservation; compliance procedures; identity verification; sanctions screening; moderation; Platform availability; or Batonic's ability to provide transaction protections to another User.
Users may not intentionally falsify, destroy, manipulate, conceal, corrupt, or interfere with Platform records or technical information used to administer Transactions or disputes.
ANY ACTION THAT MATERIALLY HINDERS BATONIC'S ABILITY TO OPERATE THE PLATFORM, PROTECT ITS USERS, OR FULFILL ITS OBLIGATIONS UNDER THESE TERMS MAY RESULT IN IMMEDIATE RESTRICTION, SUSPENSION, OR TERMINATION WITHOUT PRIOR NOTICE, TO THE EXTENT PERMITTED BY APPLICABLE LAW.
Stratiline Labs may take proportionate technical measures reasonably necessary to contain or prevent interference, including blocking requests, sessions, credentials, devices, network sources, integrations, tokens, or other access mechanisms.
54. Data Access and Nonpublic Information
A User may access data through Batonic only to the extent that the data is intentionally made available to that User through authorized Platform functionality.
The ability to technically locate, request, query, retrieve, infer, enumerate, intercept, or otherwise access information does not mean that the User is authorized to access it.
Users may not, without authorization, access or attempt to access another User's nonpublic information; access private Batons, files, messages, Transaction records, invoices, addresses, payment information, dispute materials, internal identifiers, or other restricted information not intentionally made available to them; query, enumerate, scrape, harvest, reconstruct, or extract nonpublic Platform data; manipulate identifiers, URLs, API parameters, tokens, requests, or client-side state to obtain unauthorized information; circumvent privacy settings, permissions, access controls, entitlement checks, authentication requirements, or authorization boundaries; aggregate Platform information for the purpose of creating an unauthorized database, directory, dataset, profile, or competing data product; use information obtained through Batonic for identity theft, fraud, harassment, spam, credential attacks, surveillance, or another unlawful purpose; intentionally obtain security-sensitive information belonging to Stratiline Labs or another User; or retain, distribute, sell, publish, exploit, or otherwise use nonpublic information that the User knows or reasonably should know was obtained without authorization.
If a User unintentionally obtains access to information that the User reasonably believes was not intended for them, the User must not exploit, distribute, sell, publicly disclose, or use that information for an improper purpose and should notify support@batonic.app where appropriate.
Nothing in this section prohibits access expressly authorized by Stratiline Labs or activity protected by applicable law.
55. APIs, Automation, and Programmatic Access
Access to Batonic through an API, software client, integration, automation system, script, bot, command-line utility, browser extension, or other programmatic mechanism is permitted only to the extent intentionally authorized by Stratiline Labs.
Stratiline Labs may establish separate API terms, documentation, authentication requirements, quotas, scopes, rate limits, permissions, or technical requirements.
Users may not use private, internal, undocumented, disabled, deprecated, or restricted APIs or endpoints in an unauthorized manner; impersonate an official Batonic client to bypass restrictions; circumvent API scopes, permissions, quotas, authentication, authorization, or rate limits; obtain API credentials through deception, theft, unauthorized sharing, or exploitation; automate Accounts, Storefronts, Transactions, messages, reviews, purchases, disputes, or other Platform activity for abusive or deceptive purposes; use programmatic access to manipulate rankings, reviews, analytics, traffic, or Platform measurements; use Batonic APIs for spam, fraud, credential attacks, denial-of-service activity, or unauthorized data collection; or continue using access after Stratiline Labs has revoked or restricted it.
Stratiline Labs may revoke, rotate, disable, restrict, throttle, or impose additional requirements upon API credentials, integrations, tokens, or programmatic access where reasonably necessary for security, reliability, abuse prevention, legal compliance, or Platform operations.
No API, endpoint, protocol, data format, or integration is guaranteed to remain available or unchanged unless Stratiline Labs expressly agrees otherwise in writing.
56. Reverse Engineering and Platform Technology
Except to the extent a restriction is prohibited by applicable law, Users may not reverse engineer, decompile, disassemble, decode, translate, derive source code from, or otherwise attempt to discover the underlying source code, nonpublic architecture, algorithms, trade secrets, proprietary protocols, or internal implementation of Batonic.
Users may not use automated or manual techniques to unlawfully reproduce substantial proprietary functionality; obtain nonpublic source code or trade secrets; circumvent technical protection measures; bypass access restrictions; discover credentials, cryptographic secrets, or private keys; modify a Batonic client to defeat security or enforcement mechanisms; unlawfully appropriate protected Platform materials; or create tools primarily intended to circumvent Batonic's security, payment, licensing, Transaction, access-control, or enforcement systems.
Nothing in this section prohibits interoperability, reverse engineering, security research, or other activity to the extent applicable law expressly provides that such activity may not lawfully be restricted by contract.
57. Security Testing, Vulnerability Research, and Exploitation
Stratiline Labs supports responsible efforts to identify and report legitimate security vulnerabilities. The existence of a vulnerability does not authorize unrestricted exploitation.
Unless expressly authorized by Stratiline Labs or protected notwithstanding these Terms by applicable law, Users may not intentionally access another User's nonpublic data; alter, delete, corrupt, encrypt, ransom, or destroy data; impair Platform availability; conduct denial-of-service or resource-exhaustion testing; install or distribute malware; obtain persistence within Batonic infrastructure; pivot from Batonic into third-party infrastructure; conduct social engineering, phishing, credential theft, or physical attacks; intentionally access substantially more information than reasonably necessary to demonstrate a suspected vulnerability; use a vulnerability for fraud, theft, extortion, unauthorized Transactions, unauthorized payouts, or fee avoidance; publicly disclose sensitive vulnerability details in a manner creating unreasonable risk before Stratiline Labs has had a reasonable opportunity to investigate and remediate; or sell, transfer, weaponize, or knowingly provide an unremediated Batonic vulnerability for malicious exploitation.
A person who encounters a suspected vulnerability should minimize access to User data, avoid modifying information unnecessarily, stop testing if continued activity would create a material risk of harm, and report the issue to support@batonic.app.
Nothing in this section prohibits good-faith security research expressly authorized by Stratiline Labs or protected by applicable law.
Deliberate exploitation for unauthorized access, financial gain, Platform disruption, circumvention, theft, fraud, or harm may result in immediate restriction or termination without prior notice and may be referred to appropriate authorities where permitted or required by law.
58. Credentials, Authentication, and Access Control
Users are responsible for maintaining reasonable security over their Account credentials and authentication methods.
Users may not knowingly share credentials in a manner permitting unauthorized access; purchase, sell, rent, transfer, or traffic in credentials for unauthorized purposes; use another person's credentials without authorization; impersonate another User; defeat or bypass multi-factor authentication or other authentication requirements; steal, intercept, replay, forge, or misuse session cookies, tokens, authentication codes, API keys, recovery codes, or other credentials; use credential stuffing, password spraying, brute-force attacks, phishing, or similar techniques; create Accounts using materially false identity information where accurate information is required for security, payments, legal compliance, or Transaction integrity; or assist another person in circumventing an Account suspension, termination, restriction, verification requirement, or access-control decision.
ATTEMPTS TO DEFEAT AUTHENTICATION, ACCESS CONTROLS, ACCOUNT RESTRICTIONS, SECURITY MEASURES, OR TERMINATION DECISIONS MAY RESULT IN IMMEDIATE SUSPENSION OR TERMINATION WITHOUT PRIOR NOTICE, TO THE EXTENT PERMITTED BY APPLICABLE LAW.
59. Termination Without Prior Notice
Notwithstanding any other provision of these Terms, Stratiline Labs may immediately restrict, suspend, or terminate access to Batonic without prior notification where Stratiline Labs reasonably determines that immediate action is necessary to protect Platform security, integrity, performance, or availability; prevent or contain fraud or unlawful activity; prevent material harm to another User or third party; prevent circumvention of Platform restrictions; respond to excessive traffic or resource abuse; protect payment, payout, Transaction, or dispute systems; respond to unauthorized data access, scraping, enumeration, or extraction; respond to unauthorized API or automated access; respond to exploitation or attempted exploitation of a vulnerability; respond to credential theft, Account compromise, or attempted circumvention of authentication or authorization; comply with applicable law, legal process, sanctions, or governmental requirements; comply with payment-processor requirements; prevent destruction, alteration, concealment, unauthorized disclosure, or loss of evidence or data; address a material or repeated violation of these Terms; or preserve Batonic's ability to fulfill its obligations to Buyers, Sellers, or other Users.
Where applicable law requires notice, an opportunity to cure, or another procedure before or after termination, Stratiline Labs will comply with that requirement.
Termination of Platform access does not entitle a User to funds, property, data, refunds, or other benefits the User would not otherwise be legally entitled to receive.
Stratiline Labs may retain information following termination where reasonably necessary for legitimate business purposes, fraud prevention, dispute resolution, financial records, enforcement of these Terms, security, or compliance with applicable law, subject to the Privacy Policy and applicable legal requirements.
60. Account Closure and Outstanding Obligations
A User may request closure of an Account through available Platform functionality or by contacting support@batonic.app.
Account closure does not automatically cancel, reverse, forgive, or extinguish completed or pending Transactions, payment obligations, chargebacks, refunds, disputes, Seller obligations, license restrictions, legal holds, tax obligations, or other duties that arose before closure.
Batonic may delay final closure or restrict deletion of certain records where reasonably necessary to complete pending Transactions, administer disputes or refunds, comply with law, maintain financial records, prevent fraud, enforce these Terms, or protect Users and Stratiline Labs.
Closing an Account does not require Batonic to erase information that Stratiline Labs is legally entitled or required to retain.
61. Privacy Policy
Batonic's collection, use, disclosure, protection, and retention of personal information are addressed in Batonic's Privacy Policy, as updated from time to time.
The Privacy Policy is incorporated into these Terms by reference to the extent applicable to a User's use of the Platform.
Users are responsible for reviewing the Privacy Policy before providing personal information through Batonic.
A Seller that independently collects, exports, receives, or otherwise processes personal information about Buyers may have separate obligations under privacy, data-protection, marketing, consumer-protection, or other applicable law. Batonic does not assume those independent Seller obligations merely because the information originated through a Transaction on Batonic.
62. Feedback and Suggestions
If a User voluntarily provides Batonic with ideas, suggestions, proposals, comments, or other feedback about the Platform ("Feedback"), the User grants Stratiline Labs a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable right to use, reproduce, modify, develop, commercialize, and otherwise exploit that Feedback without restriction or compensation, provided this provision does not transfer ownership of a User's Baton, confidential materials, or other User Content merely because a User discusses the Platform.
Users should not submit Feedback containing information they do not have the right to disclose.
63. Beta, Experimental, and Preview Features
Batonic may make beta, preview, experimental, early-access, or otherwise unfinished features available to some Users.
Such features may change materially, contain defects, be discontinued, lose data, behave unexpectedly, or be subject to additional restrictions.
Unless Batonic expressly states otherwise, beta or experimental functionality is provided for evaluation and is subject to the warranty disclaimers and liability limitations in these Terms.
Users should not rely on beta or experimental functionality for circumstances in which failure could reasonably be expected to cause serious harm unless Batonic expressly represents that the feature is suitable for that use.
64. No Professional Advice
Unless Batonic expressly states otherwise, information, tools, prompts, templates, calculations, recommendations, documentation, or other materials made available through the Platform do not constitute legal, tax, financial, accounting, medical, engineering, safety, compliance, or other professional advice.
Users remain responsible for obtaining qualified professional advice where appropriate to their circumstances.
65. Force Majeure
To the maximum extent permitted by applicable law, Stratiline Labs will not be responsible for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, labor disputes, governmental action, changes in law, sanctions, widespread telecommunications or Internet failures, electrical outages, cloud-provider outages, payment-network failures, cyberattacks, epidemics, pandemics, or other events that Stratiline Labs could not reasonably prevent or overcome.
This section does not excuse obligations that applicable law does not permit Stratiline Labs to disclaim or delay.
66. Severability
If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law.
If the provision cannot lawfully be enforced, it will be severed or modified only to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Where a provision can reasonably be interpreted in more than one manner, the parties intend that it be interpreted in a manner that makes it lawful and enforceable while most closely preserving its original purpose.
Any special severability provision contained within the arbitration agreement or class-action waiver controls with respect to those provisions.
67. No Waiver
A failure or delay by Stratiline Labs to exercise or enforce a right, remedy, restriction, or provision under these Terms does not constitute a waiver of that right, remedy, restriction, or provision.
Enforcement against one User does not require Stratiline Labs to take identical action against another User where circumstances differ.
A waiver is effective only if expressly made by an authorized representative of Stratiline Labs and does not constitute a continuing waiver unless expressly stated.
68. Assignment
Users may not assign, delegate, transfer, sublicense, or otherwise convey their rights or obligations under these Terms without Stratiline Labs' prior written consent.
Any attempted assignment or transfer made in violation of this section is void to the extent permitted by applicable law.
Stratiline Labs may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, transfer of the Batonic business, change of control, or similar transaction, or to an affiliate or successor, subject to applicable law.
69. Entire Agreement and Order of Precedence
These Terms, together with the Privacy Policy and any additional policies, Transaction terms, Seller terms, payment terms, licenses, or other agreements expressly incorporated by reference, constitute the agreement between the User and Stratiline Labs concerning the subject matter they address.
They supersede prior or contemporaneous communications, representations, understandings, or agreements concerning that subject matter, except for a separate written agreement expressly executed by Stratiline Labs that states it modifies or supersedes a particular provision of these Terms.
A Baton listing, Seller statement, User message, support communication, or other User-generated communication cannot modify Stratiline Labs' obligations under these Terms unless Stratiline Labs expressly agrees otherwise through an authorized written agreement.
If a Transaction-specific term expressly conflicts with these Terms, the Transaction-specific term controls only for that Transaction and only to the extent of the conflict, unless doing so would violate applicable law or an express Platform restriction.
70. Electronic Transactions, Records, and Communications
By using Batonic to enter Transactions or accept these Terms, Users agree to conduct those activities electronically to the extent permitted by applicable law.
Stratiline Labs may provide agreements, disclosures, receipts, invoices, notices, Transaction information, policy updates, and other communications electronically through Batonic, email, Account notifications, or other electronic means permitted by applicable law.
Users are responsible for maintaining accurate contact information and reasonable access to the email address or other communication method associated with their Account.
Electronic records, electronic signatures, click-through acceptance, checkbox acceptance, button presses, and other affirmative electronic actions may be used to evidence consent, assent, authorization, or agreement to the extent permitted by applicable law.
Where applicable law requires affirmative consent to electronic records or provides a right to withdraw such consent, Stratiline Labs will provide the disclosures or procedures required by law.
71. Notices
Notices from Stratiline Labs may be provided through the Platform, to the email address associated with the User's Account, through an Account notification, at checkout, or through another reasonable method permitted by applicable law.
Users are responsible for maintaining accurate and current contact information.
A User's failure to review an email address or Account notification does not invalidate a notice properly delivered using the contact information or notification mechanisms provided by the User, except where applicable law requires otherwise.
Notices to Stratiline Labs under these Terms, including support requests, legal notices, arbitration opt-outs, copyright complaints, DMCA notices, security reports, and privacy-related communications, may be sent to support@batonic.app, unless Batonic expressly provides a different legally required method for a particular notice.
72. Headings and Interpretation
Section headings are provided for convenience and do not independently alter the meaning of these Terms.
Words such as "including" and "includes" mean "including without limitation" unless the context clearly requires otherwise.
References to laws include applicable amendments, successor provisions, and implementing regulations.
Where these Terms state that Stratiline Labs "may" take an action, the provision generally authorizes but does not obligate Stratiline Labs to take that action unless another provision expressly provides otherwise.
Nothing in these Terms creates a duty for Stratiline Labs to monitor every User, Baton, Transaction, file, message, or activity.

74. Acknowledgment and Acceptance
BY CREATING AN ACCOUNT, OPERATING A STOREFRONT, PUBLISHING A BATON, PURCHASING A BATON, INITIATING OR ACCEPTING A TRANSACTION, OR OTHERWISE USING BATONIC, YOU ACKNOWLEDGE THAT YOU HAVE HAD AN OPPORTUNITY TO REVIEW THESE TERMS AND AGREE TO BE BOUND BY THEM.
YOU FURTHER ACKNOWLEDGE THAT BATONIC IS A PLATFORM FOR USER-GENERATED OFFERINGS; THAT SELLERS, NOT STRATILINE LABS, ARE RESPONSIBLE FOR THEIR BATONS EXCEPT TO THE EXTENT APPLICABLE LAW PROVIDES OTHERWISE; AND THAT BATONIC'S TRANSACTION-PROTECTION SERVICES DO NOT MAKE STRATILINE LABS THE MANUFACTURER, CREATOR, SELLER, SERVICE PROVIDER, OR GUARANTOR OF A USER-GENERATED BATON.
